These Terms of Service constitute a legally binding agreement governing access to and use of the Acubta platform, including the website, AI tools, marketplace, community features, messaging, bookings, and related services.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Acubta (Pty) Ltd, a company duly incorporated under the laws of the Republic of South Africa ("Acubta", "we", "us", or "our").
These Terms govern your access to and use of the Acubta website located at acubta.com, all associated web applications, mobile interfaces, and APIs, the AI-powered accounting assistant, the professional directory and marketplace, the community forum and content-sharing features, and messaging, booking, and payment facilitation systems.
By accessing or using the Platform, you acknowledge that you have read and understood these Terms, agree to be legally bound by them, and represent that you have the legal authority to enter into this agreement. If you do not agree, you must immediately cease use of the Platform.
- "Platform" means all services, systems, and interfaces operated by Acubta.
- "AI Assistant" means any automated or machine-learning-driven system generating responses or outputs.
- "Credits" means prepaid digital units used to access certain features.
- "Professional" means any accountant, auditor, tax practitioner, or financial expert listed on the Platform.
- "Client" means any individual or entity seeking services from a Professional.
- "User Content" means any content submitted, uploaded, or posted by Users.
- "Marketplace" means the system facilitating connections between Users.
- Headings are for convenience only and do not affect interpretation.
Acubta is a technology platform that provides AI-generated informational tools, connects users with independent Professionals, hosts a community forum for knowledge sharing, and enables messaging, discovery, and booking between users.
3.1 No Professional Services
- Acubta does not provide accounting, auditing, tax, or financial advisory services.
- Acubta does not act as an agent, representative, or employer of Professionals.
- Acubta does not guarantee the accuracy, quality, or outcome of services provided by any user.
- You may use the platform only if you are at least 18 years old.
- You must have full legal capacity to enter into binding agreements.
- You must not be prohibited from using the Services under applicable law.
- Acubta reserves the right to verify user identity and credentials.
5.1 Registration Obligations
- Provide accurate, current, and complete information.
- Maintain and promptly update your account details.
5.2 Account Security
- You are solely responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activities conducted under your account.
5.3 Account Suspension
- Acubta may suspend or terminate accounts for breach of these Terms.
- Acubta may suspend or terminate accounts for fraudulent or unlawful activity.
- Acubta may suspend or terminate accounts for abuse of platform systems.
6.1 Informational Use Only
The AI Assistant provides general informational and educational content and non-binding explanations of accounting and financial topics.
It does not constitute professional advice, legal guidance, tax guidance, or regulatory guidance.
6.2 No Reliance
- Do not rely solely on AI-generated outputs.
- Seek qualified professional advice before making decisions.
6.3 Limitations
- AI-generated content may contain inaccuracies or omissions.
- AI-generated content may be outdated or incomplete.
- AI-generated content may not reflect jurisdiction-specific requirements.
6.4 Liability Exclusion
- Acubta disclaims all liability arising from use of or reliance on AI-generated content.
- Acubta disclaims all liability for decisions made based on AI-generated content.
7.1 Nature of Credits
- Credits are prepaid digital units for accessing Services.
- Credits have no monetary value outside the platform.
- Credits are not redeemable for cash.
7.2 Usage
- Credits are consumed for AI interactions.
- Credits are consumed for content generation.
- Credits are consumed for premium features.
- Usage rates are subject to change.
7.3 Expiry and Forfeiture
Credits may expire or be forfeited in accordance with plan terms.
7.4 Refunds
- Credits are non-refundable once purchased.
- Used credits are strictly non-refundable.
7.5 Prohibited Conduct
- Users shall not manipulate or exploit the credit system.
- Users shall not use automation or bots to consume credits.
- Users shall not circumvent usage restrictions.
8.1 Subscription Plans
Access to certain Services requires a paid subscription.
8.2 Billing
- Subscriptions are billed in advance.
- Subscriptions automatically renew unless cancelled.
- Fees are non-refundable except where required by law.
8.3 Cancellation
Users may cancel subscriptions at any time. Access continues until the end of the billing cycle.
9.1 Independent Relationships
All Professionals are independent third parties.
- Acubta does not employ or control Professionals.
- Acubta does not supervise or direct their services.
9.2 No Guarantee or Endorsement
- Acubta does not guarantee professional qualifications.
- Acubta does not guarantee service quality or outcomes.
- Acubta does not guarantee the accuracy of representations.
9.3 User Responsibility
- Users are solely responsible for evaluating Professionals.
- Users are solely responsible for entering into agreements.
- Users are solely responsible for verifying credentials.
10.1 Platform Role
Acubta may facilitate communication and booking between users.
10.2 No Escrow or Fund Holding
Acubta does not collect, hold, or manage funds on behalf of users and does not act as an escrow agent, trustee, or intermediary for payments.
All payments for professional services are made directly between Users and Professionals and are governed solely by the agreement between those parties.
10.3 No Payment Liability
- Acubta is not responsible for payment disputes.
- Acubta is not responsible for non-payment or late payment.
- Acubta is not responsible for refunds between users.
11.1 User Content
Users may submit and share content.
11.2 Prohibited Content
- Illegal, fraudulent, or misleading content.
- Harmful financial or tax advice.
- Defamatory or abusive material.
11.3 Moderation Rights
- Acubta reserves the right to remove or modify content.
- Acubta reserves the right to suspend or ban users.
- Acubta reserves the right to enforce community guidelines.
12.1 Ownership
All rights in the platform remain with Acubta.
12.2 User License
Users grant Acubta a worldwide, non-exclusive license to use submitted content.
Personal data is processed in accordance with the Privacy Policy and applicable laws.
Acubta may rely on third-party providers. We are not responsible for their actions or services.
To the maximum extent permitted by law, Acubta shall not be liable for indirect, incidental, or consequential damages, loss of profits, revenue, or data, or business interruption.
15.1 Liability Cap
Acubta’s total aggregate liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the total subscription fees paid by you to Acubta in the preceding sixty (60) days.
- You agree to indemnify and hold harmless Acubta from claims arising from your use of the platform.
- You agree to indemnify and hold harmless Acubta from claims arising from your interactions with other users.
- You agree to indemnify and hold harmless Acubta from claims arising from your reliance on AI outputs.
- You agree to indemnify and hold harmless Acubta from claims arising from your violation of these Terms.
- Acubta may suspend or terminate your access for breach of these Terms.
- Acubta may suspend or terminate your access for misuse of the platform.
- Acubta may suspend or terminate your access to comply with legal obligations.
These Terms are governed by the laws of the Republic of South Africa.
- Disputes shall first be resolved through good faith negotiations.
- If unresolved, disputes shall be submitted to the courts of South Africa.
Acubta may modify these Terms at any time. Continued use constitutes acceptance.
